NPC International, Inc. Announces Closing of Successful Term Loan Refinancing

Overland Park, KS  (Restaurant News Release)  NPC International, Inc. (the “Company”) today announced that it has refinanced its outstanding $375 million term loan, availing itself of favorable market conditions and leveraging the Company’s strong close to fiscal 2011. The refinancing resulted in a 125 basis point reduction in the spread over LIBOR on the Company’s term loan borrowings and lowered the term loan LIBOR floor by 25 basis points. At prevailing LIBOR rates this action serves to reduce annual interest expense by approximately $5.6 million. The Company paid a soft call premium, in accordance with the terms of its Credit Agreement, plus transaction related expenses totaling approximately $4.9 million to effectuate the refinancing. No other changes were made to the Company’s senior credit facility in the refinancing.

Jim Schwartz, Chairman and CEO of NPC International, Inc., said, “We are pleased with the results of the term loan refinancing effort as the reduction in interest cost will meaningfully increase our free cash flow, thereby further improving the Company’s already strong deleveraging profile.”

Barclays and Goldman Sachs Bank USA served as joint lead arrangers and joint bookrunners for the transaction.

Dallas, TX  (Restaurant News Release)  As college basketball fans across America prepare to select their Cinderella teams to make a run in the tournament, Pizza Hut has made a bold move in support of the tourney’s ultimate underdogs.  If in a twist of basketball madness a No. 1 seed is upset by a No. 16 seed, Pizza Hut will embark on a tour to deliver celebratory pizzas across the country.  Additionally, the Pizza Hut 10 Seed Bandwagon will support the No. 10 seeded schools in honor of the new $10 Dinner Box by hosting $10 Dinner Box parties for their fans.

Copell, TX  (Restaurant News Release)  Today CiCi’s Pizza, home of the custom pizza buffet, announced its new investment and financing programs to help existing and prospective franchisees with funding options to further address the challenges of today’s lending environment. The new programs are part of the CiCi’s “Build the Brand” initiative to add 500 new restaurants by 2020.

Through its Franchisee Investment Program, CiCi’s has allocated $5 million to provide select qualified multi-unit franchisees with the necessary funds to open a minimum of five restaurants. CiCi’s will invest $100,000 per restaurant towards development and in doing so the company will become a non-voting minority shareholder. After certain financial milestones are met, CiCi’s will roll over the initial $100,000 into the development of a second restaurant.

“As the restaurant industry begins to show signs of improvement, we recognize a growing optimism among operators and a desire to expand their portfolios,” said CiCi’s Pizza Chief Financial Officer Forbes Anderson. “We created the Franchisee Investment Program to provide experienced multi-unit operators with the direct access to credit they need in order to develop new restaurants.”

To further address the current economic climate, CiCi’s has created several financing and incentive programs for existing franchisees that are focused on accelerating new openings within the current year or increasing multi-unit operators’ annual development schedules. These benefits include reduced franchise and royalty fees, as well as potential to receive a franchise fee refund for those that meet the specific program guidelines.

Furthermore, the company announced the CiCi’s Patriot Program last month to increase business ownership and job opportunities for veterans. For qualified, honorably discharged veterans, CiCi’s will waive the franchise fee for the first restaurant and offer 50 percent off royalty fees for the first full year of operation, a savings of approximately $58,000.

“With our highly competitive incentive programs in place, our goal is to encourage development and continue to fuel CiCi’s ‘Build the Brand’ growth initiative,” said CiCi’s Pizza Chief Development Officer Bill Spae. “We look forward to adding new franchisees to our family who are passionate about the brand and the communities they serve.”

CiCi’s Pizza is actively seeking multi-unit and single-unit operators to grow in Southern California, the Mid-Atlantic, the Northeast and South Florida, as well as select cities in Texas and other regions across the U.S.
